Welcome to Logix Seven ("Logix Seven", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, www.logixseven.com, and all products and services offered by Logix Seven.
By visiting our website, requesting a quotation, engaging our services, or entering into a project agreement with us, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

2. Eligibility to Use Our Services
By using our website or engaging our services, you confirm that:
- Any information you provide is accurate, complete, and kept up to date.
- You have the legal authority to act on behalf of yourself or the organization you represent.
- Your use of our website and services complies with all applicable laws and regulations.
We reserve the right to refuse or discontinue services where false information is provided or where engagement poses risk.
3. Our Services
Logix Seven provides professional digital solutions designed to help businesses establish, improve, and scale their online presence.
The specific scope, timeline, deliverables, pricing, and responsibilities for each project will be defined in a separate proposal, quotation, invoice, contract, or service agreement.
4. Acceptable Use of Our Website
You agree to use our website only for lawful purposes. You must not:
- Attempt unauthorized system access
- Scrape or harvest website content
- Interfere with security or availability
- Use for fraudulent or illegal activity
- Impersonate any individual or entity
- Reverse engineer proprietary code
5. Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide accurate project information and business requirements.
- Supply all required content, branding assets, images, and documents.
- Ensure they own or have permission to use all provided content.
- Review deliverables promptly and provide feedback within agreed timelines.
- Appoint an authorized representative for project decisions.
Logix Seven shall not be liable for claims arising from client-provided content or materials.
6. Project Scope and Change Requests
Before work begins, both parties will agree on the project scope, objectives, timeline, pricing, and deliverables. Any request falling outside the agreed scope (such as additional pages, new features, or extra revisions) will be treated as a change request.
Change requests may extend project timelines, require additional development time, and incur extra charges communicated prior to work proceeding.
7. Intellectual Property Rights
All intellectual property relating to internal processes, proprietary tools, frameworks, reusable code libraries, and templates remain the exclusive property of Logix Seven.
Logix Seven reserves the right to display completed projects and design samples within our portfolio and marketing materials unless a written NDA specifies otherwise.
8. Fees, Payments, and Invoicing
- A non-refundable deposit of 50% is required before development begins.
- The remaining balance is paid upon milestone completion or final project approval.
- Final deliverables and website deployment may be withheld until all invoices are paid in full.
9. Late Payments
If payment is not received by the agreed due date, Logix Seven reserves the right to:
- Suspend ongoing development work
- Restrict access to staging servers or development environments
- Delay website launch or software deployment
- Charge reasonable late fees where permitted by law
10. Refund Policy
Due to the nature of digital services and custom software development, payments made for completed work are generally non-refundable.
Refunds may only be considered if work has not commenced or Logix Seven is unable to deliver agreed services for reasons solely within our control.
11. Timelines, Client Delays & Content
Where a project remains inactive for more than thirty (30) consecutive days due to client delay or lack of requested materials, Logix Seven may consider the project dormant. Dormant projects may require revised pricing and a new timeline before resuming.
12. Client Content & Warranties
Clients represent and warrant that they own or license all text, images, brand assets, and content supplied. Logix Seven accepts no responsibility for copyright or trademark claims arising from client assets.
13. Hosting, Domains & Third-Party Services
Unless stated in a managed services agreement, hosting, domain registration, and cloud platforms are provided by third-party vendors. Logix Seven is not responsible for vendor server outages, DNS delays, or third-party service interruptions.
14. Third-Party Software & APIs
Changes or discontinuations of third-party APIs (e.g., payment gateways, maps, AI models) may require additional development work.
15. Search Engine Optimization (SEO) & Maintenance
While we apply industry best practices, Logix Seven does not guarantee specific search engine rankings or traffic volume, as algorithms change constantly.
16. Website Maintenance & Support
Post-launch support covers bug fixes for delivered functionality. New features or redesigns are quoted as separate development requests unless covered under an active maintenance contract.
17. Confidentiality & Data Security
Both parties agree to protect non-public business strategies, customer data, credentials, and source code. Confidentiality obligations survive project termination.
18. Data Backup & Security
Clients remain responsible for maintaining independent backups of their live databases and business information unless automated backup services are explicitly contracted.
19. Warranties, Disclaimers & Indemnification
Services are provided on an "as is" and "as available" basis. Logix Seven disclaims all implied warranties of merchantability or fitness for a specific purpose to the maximum extent permitted by law.
20. Indemnification
Clients agree to indemnify and hold harmless Logix Seven against legal claims arising from client-provided materials, copyright issues, or illegal use of software deliverables.
21. Suspension, Termination & Force Majeure
Acceptable Use: Deliverables must not be used to distribute malware, phishing, hate speech, or engage in unlawful activity.
Force Majeure: Neither party is liable for delays caused by natural disasters, telecommunications outages, cyberattacks, or events beyond reasonable control.
Privacy: Data handling is governed by our Privacy Policy, incorporated into these Terms.
27. Governing Law & Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
The parties agree to resolve any dispute through good-faith negotiations before initiating formal legal proceedings.
